1 Definitions

• Products – Downloadable software/WordPress plugins (e.g., Cortex LMS).
• Services – Web design/development, maintenance, customization, related digital services.
• License Key – Code to activate software and receive updates/support.
• Order – A payment/checkout placed on our website or via a payment link.

2 Eligibility

You confirm you are 18+ or authorized to bind a legal entity.

3 Accounts & Information Accuracy

Provide accurate, current, and complete information (name, email, billing details), and keep credentials secure. You are responsible for activities under your account.

4 Pricing, Currency & Taxes

• Prices may be shown in LKR and/or USD. Settlement may occur per processor/bank rules.
• Applicable taxes/duties/levies (e.g., VAT) may be charged as required by law.
• We may change prices, plans, or promotions without prior notice.

5 Payments

• Processed via third-party processors (e.g., PayHere, Onepay) offering cards, LankaQR, wallets, or online banking.
• We do not store full card data; processors handle PCI-DSS compliance.
• Unresolved chargebacks/disputes may lead to suspension or revocation of access/licenses.

6 Order Confirmation & Digital Delivery

• Upon successful payment, you will receive an order email with your license key and download link.
• If not received, contact support@cortex.lk within 24 hours.
• Delivery is digital only.

7 Subscriptions & Auto-Renewals (if applicable)

• Subscriptions auto-renew per plan until cancelled before the next renewal.
• Cancellation stops future charges; current term fees are non-refundable (see Refund Policy).

8 Software License (Plugins)

• Limited, non-exclusive, non-transferable license as per your plan (e.g., sites/domains).
• Resale, redistribution, sharing, or key-sharing is prohibited.
• Updates & support during the active license period; after expiry, updates/support cease.
• Open-source components follow their licenses; other parts follow Cortex’s commercial license.

9 Acceptable Use

• No illegal, fraudulent, infringing, or harmful activities.
• Do not reverse-engineer or tamper with license/security mechanisms.
• No spam, malware distribution, or abusive load.

10 Service Terms (Web Design/Development)

• Scope & Quote: Based on agreed scope/quotation. Changes require a Change Request and may incur fees.
• Payments: Typically 50% deposit (non-refundable) with milestone balances.
• Client Content: You supply text/images/logos and warrant required rights.
• Revisions: Included revisions: [X] rounds; extras billed separately.
• Timelines: Client delays extend timelines.
• Acceptance: Project completes upon UAT/hand-over acceptance via email/portal.
• Hosting & Maintenance: Separate plans/contracts; uptime/backups/email rely on third parties.
• SEO: Best practices only; rankings not guaranteed.
• IP & Source Files: Final deliverables after full payment. Reusable frameworks/tools/plugin cores remain Cortex IP (non-exclusive usage for the project is granted).

11 Refunds & Cancellations (Summary)

• Digital Products: Non-refundable once a license key is issued or the file is downloaded. Critical defects verified within 7 days: we will attempt a fix or reasonable remedy.
• Services: Deposits are non-refundable. Completed milestones are billable.
• Chargebacks: May result in suspension of license/updates.

12 Intellectual Property

All website content, software, branding, documentation, and media are Cortex IP (excluding client-provided content). You may not copy, modify, or distribute except as allowed.

13 Third-Party Tools & Links

Third-party tools/services are governed by their own terms and policies. We are not responsible for third-party content or outages.

14 Privacy

Your data is handled under our Privacy Policy (aligned with applicable laws, including Sri Lanka PDPA). See: Privacy Policy.

15 Warranties Disclaimer

Products and services are provided “as is” and “as available.” We do not warrant uninterrupted or error-free operation; we make reasonable efforts to deliver fixes/updates.

16 Limitation of Liability

To the fullest extent permitted by law, our total liability for any claim will not exceed the amount you paid to Cortex for the product/service giving rise to the claim in the preceding 12 months. We are not liable for indirect or consequential damages.

17 Indemnification

You agree to indemnify and hold Cortex harmless from claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use, your content, or your breach of these Terms or law.

18 Force Majeure

We are not liable for delays or failures caused by events beyond our control (e.g., natural disasters, war, government action, power/internet outages, DDoS, strikes).

19 Governing Law & Dispute Resolution

These Terms are governed by the laws of Sri Lanka. Courts in Colombo have exclusive jurisdiction. We encourage amicable resolution/mediation before legal action.

20 Changes to These Terms

We may update these Terms from time to time. The “Last updated” date will change, and updates are effective upon posting.

22 Entire Agreement & Severability

These Terms, together with our Privacy Policy and Refund & Cancellation Policy, form the entire agreement. If any provision is invalid, the remainder remains in effect.
